Notice is hereby given that the Town of Camden, Maine (the "Town") intends to issue Revenue Obligation Securities pursuant to the Finance Authority of Maine Act (Chapter 110 of Title 10 of the Maine Revised Statutes of 1964, as amended) and that the Select Board of the Town of Camden on December 5, 2016 adopted resolutions authorizing the issue of said Revenue Obligation Securities for the purposes authorized by said Act.
The Revenue Obligation Securities are proposed to be issued in the maximum principal amount of $4,000,000 to provide financing to (1) purchase, medically reconfigure, upgrade and medically equip an Agusta 109 Grand helicopter; (2) upgrade LifeFlight's facility at Sanford Seacoast Regional Airport; (3) install a repeater radio station on Mount Hope; and (4) pay certain costs of issuance relating thereto (the "Project").
The bond financed facility will be owned and operated by LifeFlight of Maine, LLC (the "Borrower"). Financing documents and other agreements and contracts to be entered into by the Town and the Borrower (the "Bond Documents") will provide for the payment from time to time by the Borrower of sums which in the aggregate will be at least equal to the entire principal and interest of such securities and all administrative costs in connection therewith. Such securities shall be paid solely from said sums and shall not constitute a general debt or liability of the Town nor a pledge of its full faith and credit.
The Revenue Obligation Securities proposed to be issued for the aforementioned purposes in the maximum principal amount of $4,000,000 are to be issued in such form as provided by the Bond Documents and shall earn interest from the date of issuance at a variable rate as provided by the Bond Documents. The aforesaid Revenue Obligation Securities of the Town are proposed to be issued pursuant to a Certificate of Approval issued by the Finance Authority of Maine, which certificate is expected to provide substantially as follows:
CERTIFICATE OF APPROVAL
Pursuant to 10 M.R.S.A. Sec. 1063, and based on certain findings required thereunder, the Finance Authority of Maine ("FAME") approves the project described below:

PROJECT USER: LifeFlight of Maine, LLC
PROJECT LOCATION: Sanford, ME
DESCRIPTION OF PROJECT: to (1) purchase, medically reconfigure, upgrade

(4) pay certain costs of issuance relating thereto
(the "Project").
MAXIMUM AMOUNT OF REVENUE OBLIGATION SECURITIES TO BE ISSUED BY THE MUNICIPALITY TO PROVIDE FINANCING FOR THE PROJECT: $4,000,000
This Certificate shall be null and void unless acted upon by the municipality within one (1) year from the date hereof.
Any action or proceeding in any court to set aside such resolution or Certificate of Approval or seeking relief upon the grounds that such resolution or Certificate of Approval was improperly adopted, was adopted for unauthorized purposes or is otherwise invalid for any reason, must be started within thirty (30) days after the date of publication of this notice. After the expiration of such period of limitation, no right of action or defense founded upon the invalidity of the resolution or approval or any provisions hereof shall be started or asserted, nor shall the validity of such resolution or approval or any revisions thereof be open to question in any court upon any grounds.
